Restrolla LLC provides technology consulting services including:

  • • Process automation and workflow design
Client Responsibilities

As a client, you agree to:

  • • Provide accurate and complete information about your business needs
  • • Make necessary personnel available for consultations and implementations
  • • Provide timely access to required systems and documentation
  • • Communicate any changes or concerns promptly
  • • Pay invoices in accordance with agreed terms
  • • Implement recommended security measures
Payment Terms

Fee Structure

Services are billed based on project scope, hourly rates, or retainer agreements as outlined in project proposals.

Payment Schedule

Payment terms are Net 30 days from invoice date. Late payments may incur interest charges of 1.5% per month.

Expense Reimbursement

Client agrees to reimburse pre-approved travel and accommodation expenses.

Confidentiality & Data Protection

Mutual Confidentiality

Both parties agree to maintain confidentiality of all business information, technical data, and trade marks shared during the engagement.

Data Protection

We implement appropriate technical and organizational measures to protect your data in accordance with applicable privacy laws and regulations.

Data Retention

We retain client data only as necessary for service delivery and legal compliance.

Intellectual Property Rights

Client Materials

Client retains all rights to their existing intellectual property, systems, and data.

Deliverables

Upon full payment, client receives non-exclusive rights to use deliverables for their business purposes. Restrolla retains rights to methodologies and intellectual property.

Third-Party Software

Clients are responsible for obtaining proper licenses for third-party software recommended or implemented by Restrolla.

Limitations and Liabilities

Service Guarantee

We strive to deliver high-quality services and will work diligently to address any concerns or issues that arise during our engagement.

Limitation of Liability

Our total liability for any claim related to our services shall not exceed the total fees paid for the specific service giving rise to the claim.

Force Majeure

Neither party is liable for failures to perform due to circumstances beyond their reasonable control.

Termination
  • • Either party may terminate with 30 days written notice
  • • Client pays for all services rendered up to termination date
  • • Confidentiality obligations survive termination
  • • Final deliverables provided upon full payment

Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiation. If unresolved, disputes will be mediated before pursuing legal action.

Governing Law: These Terms are governed by the laws of Wyoming, United States.
